Partner Terms

1. Joining

An owner or admin of a workspace can join the program from the partner page in their dashboard, for that workspace. Joining is immediate. By joining you accept these terms for the workspace and confirm you are acting for a business. Each workspace, and each person, can hold one partner account.

We may decline, pause or close a partner account at our discretion. What that means for money already earned is set out under Leaving the program.

2. How a referral is credited

• Your link is ottom.io/r/ followed by your partner code. The first partner link a person clicks is the one that counts, for 90 days.
• The referral is recorded when that person confirms their email address with us. From then on it belongs to their account, not to one store, so it covers every store that account pays for.
• A referral does not count if the person already had an Ottom account before the click, already belongs to another partner, is you, or is a member of your own workspace.
• Our records of clicks and referrals decide who referred whom. If you think one is wrong, tell us at [email protected] within 90 days of the payment concerned.

3. What earns commission

You earn 20% of each subscription payment a referred client makes to Ottom through Stripe once it has settled, for 3 years from that client's first settled payment. Commission is on the amount the client paid before tax (VAT or sales tax), and is rounded down to the cent. If that payment is refunded or lost to a chargeback, the commission on it is reversed in the same proportion.

The 3 years run from the first payment and do not restart, even if that payment is refunded. A store the client adds later earns for whatever remains of the term.

These do not earn commission:

• The $9 one-off report.
• Plans billed through Shopify. We intend to add them, and will change these terms with notice when we do.
• A store that your own workspace pays for. There, you are the customer.
• Invoices we mark as paid outside Stripe, one-off invoices, and enterprise contracts unless we agree otherwise in writing.

4. Refunds and chargebacks

If a payment that earned commission is refunded, or lost to a chargeback, we reverse the commission on it in proportion, at the rate it was earned at. If you have already been paid, the reversal is set against your future commission. We do not ask you to pay back money we have already sent.

5. Your statement

Your partner page shows each referred client, what they were invoiced and whether it settled, your balance, every ledger entry and every payout. It never shows a client's email address or their reports. The ledger is never edited: a correction is a new line.

6. Payouts, invoices and tax

• We pay quarterly. Commission on payments that settled in a calendar quarter becomes payable once the quarter ends, and we pay it within 30 days if your payable balance is at least US$100. A smaller balance rolls forward.
• We pay in US dollars by bank transfer or Wise to the account you give us. You pay your own bank charges.
• Commission is stated before VAT. If you are registered for VAT in the UK, send us an invoice for the payable amount plus VAT before we pay. You are responsible for your own taxes, and we may ask for tax forms or details before paying.
• We may hold a payout while we look into a referral we suspect is fraudulent or in breach of these terms.

7. Promoting Ottom

When you promote Ottom:

• Do not bid on "Ottom" or anything like it in paid search, or run ads that look as if they come from us.
• Do not send unsolicited bulk email or messages, and follow the marketing rules of the countries you promote in.
• Do not claim anything Ottom does not claim, such as guaranteed rankings, sales or results from any AI assistant, and do not post fake reviews.
• Do not list Ottom on coupon, cashback or incentive sites, or pay people to sign up.
• Do not use a scan of someone's store to pressure or embarrass them into signing up, or present it as Ottom's verdict on their store.
• Say that you earn commission, where the law or the platform you post on requires it.

You may use the Ottom name to say truthfully that you recommend or work with us. Do not change our logo, use it as your own, or suggest we endorse you beyond that.

8. Agencies that pay for their clients

An agency may instead pay for a client's store from its own workspace and charge the client as it likes. That store earns no commission, and the agency is our customer for it under the Terms of Service.

9. Leaving the program

You can leave at any time by writing to [email protected]. A paused or closed partner keeps a read-only statement.

If you leave, or we close your account for any reason other than a breach of these terms or fraud, we pay what you have earned, without the minimum, and clients you already referred keep earning you commission until their 3 years end.

If we close your account because of fraud, or a breach of these terms you have not put right within 14 days of our asking, commission not yet paid is forfeited and nothing further is earned.

10. Changes to these terms

We will email you at least 30 days before a change to the rate, the term or how referrals are credited takes effect. A change applies only to clients referred after it takes effect; clients already referred keep the rate and term they were referred on.

11. General

You are an independent business, not our employee, agent or representative, and you cannot make promises on our behalf. The limits on liability in the Terms of Service apply to these terms, with the fees you paid us replaced by the commission we paid you in the 12 months before the claim where that is higher. These terms are governed by the law of England and Wales, and the courts of England and Wales alone decide any dispute about them.
